Coaching Services Agreement
Every coaching engagement runs on a written scope, published fees, strict confidentiality with stated limits, and one honest boundary: nobody — not the coach, not CVPRO — guarantees an outcome. By booking a coaching engagement you accept these terms.
1. Parties and structure
This agreement is between you (the "Client"), TALPRO INDIA PRIVATE LIMITED ("Talpro", operating CVPRO), and applies to every coaching engagement facilitated through CVPRO (programmes C1–C4 and any written custom scope). Coaches are independent professionals engaged under the Coach Panel Terms; Talpro facilitates matching, scheduling, billing and quality, and is not the coach's employer or the Client's employer.
2. The engagement
- Scope in writing. Before payment, you receive a written scope: programme, number and length of sessions, duration, deliverables (e.g. evidence pack, debriefs), and fees. Only the written scope binds us; conversations do not expand it.
- Chemistry call. Your first conversation with a proposed coach is free and commits neither side. An engagement begins only when you accept the scope and pay the first invoice.
- What coaching is. A development conversation run by a qualified professional. It is not therapy, counselling, psychiatric care, legal, tax or financial advice, and not a placement or job-search service.
3. Fees, invoicing and taxes
- Fees for standard programmes are published on the investment page; custom scopes are quoted in writing. All fees are stated exclusive of GST, which is added at the prevailing rate against our GSTIN 29AAHCT9485A1ZX with a tax invoice.
- Payment is in advance per the written scope (full or milestone). Online payments are processed by our payment provider; we never see or store your card or banking credentials.
- Refunds are governed by the Refund Policy, including its coaching section.
4. Scheduling, rescheduling and lapse
- Sessions are booked at mutually agreed times. Either side may reschedule with at least 24 hours' notice at no cost.
- A Client no-show, or cancellation within 24 hours, may be counted as a delivered session. If the coach cancels late or fails to appear, the session is re-delivered at no cost.
- Programmes are designed to complete within the period stated in the scope. Sessions unclaimed 90 days after that period lapse and are not refundable, unless extended in writing for good reason (we are reasonable about genuine life events). The pro-rata refund rights in the Refund Policy apply to engagements ended in writing before sessions lapse.
5. Confidentiality
- What you discuss in sessions is confidential between you and your coach. Talpro receives engagement metadata (attendance, milestones, themes at the level needed for quality) — not session transcripts, unless you explicitly consent in writing.
- Sponsored engagements: where an employer pays, the sponsor receives attendance and progress against the agreed development objectives only — never session content. This boundary is stated in the sponsor's own scope document.
- Limits. Confidentiality yields only where law compels disclosure, or where there is credible risk of serious harm to you or others; in such cases disclosure is the minimum necessary.
6. AI, data and materials
- Our AI prepares evidence packs and session briefs from material you provide; its role is disclosed at how we use AI. The AI never coaches you and never impersonates a human.
- Personal data is handled per our Privacy Policy and the Digital Personal Data Protection Act, 2023. You may raise data requests via the Grievance Officer.
- Frameworks, templates and briefs we supply are licensed for your personal professional use; the underlying materials remain Talpro's or the coach's intellectual property. Your own career facts and documents remain yours.
7. Honest boundaries
- No outcome guarantees. Neither Talpro nor any coach promises interviews, offers, promotions, board seats, compensation changes or any professional result. Progress depends substantially on your own effort and on markets we do not control.
- No job promises. CVPRO is a facilitator, not an employer or placement agency — see the Disclaimer. Coaching fees buy coaching, nothing else.
- Fitness for coaching. Coaching assumes ordinary wellbeing. If issues emerge that belong in clinical care, the coach will say so and pause; this is a professional duty, not a judgement.
8. Conduct, substitution and termination
- Both sides commit to respectful conduct. Harassment or abuse of a coach (or Client) ends the engagement without refund of delivered sessions.
- If your coach becomes unavailable, we offer a substitute of equivalent standing or a pro-rata refund of undelivered sessions — your choice.
- You may terminate at any time in writing; refunds for undelivered sessions follow the Refund Policy. We may terminate for breach, with a pro-rata refund of undelivered sessions where the breach is ours.
9. Liability
To the maximum extent permitted by law: (a) Talpro's aggregate liability for any engagement is limited to the fees you paid for that engagement; (b) neither party is liable for indirect or consequential loss, including lost opportunity, lost income or reputational loss; (c) nothing limits liability that cannot lawfully be limited, including for fraud.
10. Governing law and disputes
This agreement is governed by the laws of India. Courts at Bengaluru, Karnataka have exclusive jurisdiction, after a mandatory good-faith attempt at resolution via the grievance process (we respond within the timelines published there).
11. Changes
We may update these terms for future engagements; the version in force when you accept a written scope governs that engagement. Material changes are dated at the top of this page.
